Terms of Service

These Terms of Service ("Terms") govern your access to and use of TrixieWatch, an automated waste-invoice monitoring service for U.S. commercial operators (the "Service"). The Service is operated by KulaYogaPrema Ltd., a single-member limited liability company (EOOD) organized under the laws of the Republic of Bulgaria, with registration number (EIK) 206726604, VAT BG206726604, and registered seat at ul. "Petar Enchev" No. 15, fl. 2, ap. 2, Odesos District, 9000 Varna, Bulgaria ("TrixieWatch," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Who Can Use the Service

The Service is intended for businesses and for individuals using it on behalf of a business, located in the United States. The Service is not offered to, and may not be used by, customers or businesses located in the European Union, the European Economic Area, the United Kingdom, or Switzerland. By using the Service you confirm that you are at least 18 years old, that you and the business you represent are located in the United States, that you have the authority to enter into these Terms on behalf of the business you represent, and that you will use the Service for commercial purposes only. References to "you" mean you and the business you represent.

2. What TrixieWatch Does

TrixieWatch reviews waste-management invoices that you provide and analyzes them for billing anomalies and irregular charges. You upload invoice PDFs through the dashboard or send them to us by email, and we deliver monitoring results and monthly monitoring reports by email or through the dashboard.

Human review. In our current phase, results are reviewed by a member of our team before delivery. As the Service matures, we may automate part or all of this analysis, so some results may be produced with reduced or no manual review. We describe our approach transparently here and in our Privacy Policy.

3. Accounts

You need an account to use the Service, which requires a valid email address. You are responsible for the activity that happens under your account and for keeping your login credentials secure. Notify us promptly at hello@trixiewatch.com if you believe your account has been accessed without authorization. You agree to provide accurate information and to keep it current.

4. Free Scan and Paid Plans

We offer a free initial scan. Continued or expanded use of the Service requires a paid subscription.

Billing. Paid plans are billed through our payment processor, Stripe. By subscribing, you authorize us and Stripe to charge your payment method for the applicable fees on a recurring basis until you cancel. You are responsible for any taxes associated with your subscription.

Renewals and cancellation. Subscriptions renew automatically for successive billing periods unless you cancel before the start of the next period. You may cancel at any time; cancellation takes effect at the end of your current billing period.

Refunds. Except where required by law, fees are non-refundable, and we do not provide refunds or credits for partial billing periods.

Price changes. We may change our fees. If we do, we will give you reasonable advance notice, and the new fees will apply to your next billing period.

5. Your Content and Responsibilities

"Your Content" means the invoices and other materials you upload or send to us.

Your ownership. You retain ownership of Your Content. You grant us a limited license to host, process, and analyze Your Content solely to provide the Service to you, including processing by the subprocessors described in our Privacy Policy.

Pricing and market data. You acknowledge that invoices reflect the pricing of third-party haulers, and you grant us a perpetual, irrevocable, worldwide right to retain and use pricing and market data derived from Your Content for benchmarks, market analytics, benchmark comparisons shown to you and other users, public and marketing content, and any other lawful business purpose. Before adding this data to our market dataset, we remove direct identifiers (your name, business name, and street address) and replace the link to your account with a pseudonymous identifier; the mapping to your account is held separately and deleted when your account is deleted. We publish or share such data only in aggregated form that does not single out any customer (covering at least 10 distinct businesses). This right and our retention survive the termination or deletion of your account and any deletion request, to the extent permitted by applicable law.

Your responsibilities. You represent that you have the right to provide Your Content to us and to have it processed as described. You agree to use the Service only for lawful business purposes and not to:

  • upload content you do not have the right to share, or content unrelated to waste-invoice monitoring;
  • attempt to gain unauthorized access to the Service or to other users' data;
  • interfere with, disrupt, or place an unreasonable load on the Service;
  • reverse engineer, scrape, or attempt to extract the underlying models or source code, except where such restriction is prohibited by law;
  • use the Service to build a competing product; or
  • use the Service in violation of any applicable law or regulation.

6. Service Results and No Professional Advice

TrixieWatch helps you spot potential billing anomalies, but our results are informational and provided to assist your own review. We do not guarantee that we will identify every anomaly, error, or overcharge, or that every item we flag is in fact an error. The Service is not legal, accounting, tax, or other professional advice, and it does not replace your own judgment or that of your professional advisors. You are responsible for any decisions you make, including any communications or disputes with your waste haulers.

7. Third-Party Services

The Service relies on third-party providers, including Cloudflare (hosting), Supabase (database), Stripe (payments), and Anthropic / Claude API (invoice analysis), as described in our Privacy Policy. Your use of the Service may also be subject to those providers' terms where applicable. We are not responsible for the acts or omissions of third-party providers beyond our reasonable control.

8. Privacy

Our handling of your information is described in our Privacy Policy, which is incorporated into these Terms by reference. Please review it to understand what we collect, how we use it, who can access it, and your rights, including your rights under the California Consumer Privacy Act.

9. Intellectual Property

The Service, including its software, design, and content (excluding Your Content), is owned by TrixieWatch and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms. We reserve all rights not expressly granted. Any feedback you provide may be used by us without obligation to you.

10. Availability and Changes to the Service

We work to keep the Service available and reliable, but we provide it on an "as is" and "as available" basis. We may modify, suspend, or discontinue features of the Service at any time. We will use reasonable efforts to give notice of material changes that significantly reduce the Service's core functionality.

11. Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, timely, error-free, or secure, that defects will be corrected, that the Service is free of harmful components, or that any results obtained from the Service will be accurate, complete, or reliable. Any material you obtain through the Service is accessed at your own discretion and risk, and you are solely responsible for any decisions you make based on it. No advice or information, whether oral or written, obtained from us or through the Service creates any warranty not expressly stated in these Terms.

12. Limitation of Liability

The limitations in this section reflect a deliberate and reasonable allocation of risk between you and us, form an essential basis of the bargain between us, and apply even if any limited remedy is found to have failed of its essential purpose.

To the maximum extent permitted by law, TrixieWatch and its owners, directors, employees, agents, and providers ("the TrixieWatch Parties") will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of or damage to profits, revenue, data, goodwill, business, or anticipated savings, or for the cost of substitute services, arising out of or relating to these Terms or your use of (or inability to use) the Service, regardless of the theory of liability (whether in contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

To the maximum extent permitted by law, the total aggregate liability of the TrixieWatch Parties for all claims arising out of or relating to the Service or these Terms will not exceed the greater of (a) the total amount you paid us for the Service in the twelve (12) months immediately before the event giving rise to the first such claim, or (b) one hundred U.S. dollars ($100). Multiple claims do not enlarge this limit.

You agree that any claim or cause of action arising out of or relating to the Service or these Terms must be commenced within twelve (12) months after the claim or cause of action arose; otherwise it is permanently barred, except where a longer period is required by applicable law.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, willful misconduct, or gross negligence, or for death or personal injury caused by negligence. Where applicable law does not allow the exclusion or limitation of certain damages, the above exclusions and limitations apply only to the extent permitted, and the TrixieWatch Parties' liability is limited to the smallest amount permitted by law.

13. Indemnification

You will defend, indemnify, and hold harmless the TrixieWatch Parties from and against any and all third-party claims, demands, actions, damages, losses, liabilities, judgments, settlements, costs, and expenses (including reasonable attorneys' fees and other costs of defense) arising out of or relating to: (a) Your Content; (b) your use of the Service; (c) your violation of these Terms or of any applicable law or regulation; or (d) your violation of the rights of any third party, including any intellectual property, privacy, or contractual right. We will give you reasonable notice of any such claim, and we reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense. You may not settle any claim in a way that imposes any obligation or admission on a TrixieWatch Party without our prior written consent.

14. Termination

You may stop using the Service and cancel your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service or other users. Upon termination, your right to use the Service ends. We will handle your data after cancellation as described in our Privacy Policy, including deleting your invoice documents, your customer-identifying invoice data, and the mapping that links our retained market data to you within 30 days, or sooner upon request. As described in our Privacy Policy and in Section 5, we retain pseudonymized market data that, after that mapping is deleted, can no longer be linked to you. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnification, and dispute terms) will survive.

15. Governing Law, Arbitration, and Disputes

Governing law. These Terms, and any dispute arising out of or relating to these Terms or the Service, are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules and excluding the United Nations Convention on Contracts for the International Sale of Goods.

Informal resolution first. Before starting an arbitration, you agree to contact us at hello@trixiewatch.com and try in good faith to resolve the dispute informally for at least thirty (30) days. Most concerns can be resolved this way.

Binding arbitration.If we cannot resolve a dispute informally, you and we agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be conducted in English before a single arbitrator, seated in the State of Delaware, United States. Judgment on the arbitrator's award may be entered in any court of competent jurisdiction. The parties intend this agreement to arbitrate to be governed by the U.S. Federal Arbitration Act, and any award to be recognized and enforceable internationally under the New York Convention on the Recognition and Enforcement of Foreign Arbitral Awards.

Class-action waiver. To the maximum extent permitted by law, you and we agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate the claims of more than one party and may not preside over any form of class or representative proceeding.

Exceptions. Notwithstanding the above, either party may (a) bring an individual claim in a small-claims court of competent jurisdiction if it qualifies, and (b) seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

The Service is offered to business customers in the United States. We make no representation that the Service is appropriate or available for use outside the United States, and you are responsible for compliance with any local laws that apply to you.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. If we make material changes, we will take reasonable steps to notify you, such as by email or through the dashboard. Your continued use of the Service after an update means you accept the revised Terms.
